Hold Harmless Agreement Media Release Legally Binding
SECTION 1 · HOLD HARMLESS AGREEMENT
Waiver of Liability — Please read in full before agreeing

HOLD HARMLESS AND WAIVER OF LIABILITY AGREEMENT

This Hold Harmless and Waiver of Liability Agreement ("Agreement") is entered into by and between D2D Awards Entertainment & Productions, its officers, directors, employees, volunteers, agents, sponsors, affiliates, and assigns (collectively, the "Organization"), and the undersigned participant, auditionee, or contestant (the "Participant").

1. ASSUMPTION OF RISK

The Participant acknowledges and voluntarily assumes all risks associated with participation in The Ultimate Unification of Dance competition, reality show, auditions, rehearsals, events, and all related activities (collectively, the "Event"), including but not limited to: physical injury, illness, property damage, personal loss, and any other harm that may arise from participation — whether in Bogotá (Colombia), Accra (Ghana), Santo Domingo (Dominican Republic), New York City (USA), or any other location associated with the Event.

2. RELEASE AND WAIVER

The Participant hereby fully releases, waives, discharges, and covenants not to sue the Organization from and against any and all liability, claims, demands, losses, damages, costs, or expenses of any kind whatsoever (including legal fees) arising out of or related to the Participant's involvement in the Event, whether caused by the negligence of the Organization or otherwise, to the fullest extent permitted by applicable law.

3. INDEMNIFICATION

The Participant agrees to indemnify, defend, and hold harmless the Organization from and against any and all claims, actions, damages, liability, and expenses in connection with the Event arising out of the Participant's actions, omissions, or breach of this Agreement.

4. MEDICAL AUTHORIZATION

In the event of injury, illness, or medical emergency, the Participant authorizes the Organization to obtain emergency medical treatment on the Participant's behalf and agrees to be responsible for all related costs. The Participant represents that they are in good physical health and able to participate safely in all Event activities.

5. CONDUCT AND RULES

The Participant agrees to abide by all rules, regulations, and decisions of the Organization. The Organization reserves the right to disqualify any Participant for conduct deemed inappropriate, disruptive, or contrary to the values of the Event, without refund or compensation.

6. GOVERNING LAW

This Agreement shall be governed by the laws of the jurisdiction in which the applicable Event is held. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

7. ACKNOWLEDGMENT

The Participant acknowledges that they have read and fully understand this Agreement, that they are signing it freely and voluntarily, and that by signing they are giving up substantial legal rights. If the Participant is under 18 years of age, a parent or legal guardian must also sign below.

SECTION 2 · MEDIA RELEASE & CONSENT

MEDIA RELEASE AND CONSENT AGREEMENT

This Media Release and Consent Agreement ("Release") is entered into by and between D2D Awards Entertainment & Productions and the undersigned Participant in connection with The Ultimate Unification of Dance competition, reality show, and all related productions.

1. GRANT OF RIGHTS

The Participant hereby irrevocably grants to the Organization and its licensees, successors, and assigns the right to capture, record, photograph, and otherwise document the Participant's image, likeness, voice, name, biographical information, and performance during any and all Event activities, including but not limited to: auditions, rehearsals, competition nights, backstage footage, interviews, social media content, promotional materials, and the reality show production.

2. USE OF CONTENT

The Organization may use, reproduce, publish, broadcast, stream, distribute, edit, modify, and otherwise exploit content featuring the Participant — in any and all media, whether now known or hereafter devised — for any lawful purpose related to the Event and the Organization's promotional, commercial, and entertainment activities. This includes but is not limited to: television, online streaming platforms, social media, websites, advertising, and press materials.

3. NO COMPENSATION

The Participant agrees that no compensation, royalty, or consideration of any kind shall be owed to the Participant for the use of content under this Release, and the Participant waives any right to inspect or approve the final use of such content.

4. REALITY SHOW PARTICIPATION

The Participant acknowledges that The Ultimate Unification of Dance is produced as a reality show. All footage — including off-stage, behind-the-scenes, and personal interactions — may be included in the final production at the sole discretion of the Organization. The Participant consents to this filming and waives any right to privacy in connection with Event-related footage.

5. SOCIAL MEDIA & DIGITAL USE

The Organization and its partners may use the Participant's image, clips, and name on social media platforms including but not limited to: Instagram, YouTube, TikTok, Facebook, and X (Twitter). The Participant grants permission for such use without advance notice or approval.

6. DURATION

This Release shall be perpetual and irrevocable. The rights granted herein shall survive the termination or conclusion of the Event.

7. REPRESENTATIONS

The Participant represents that they have the full legal authority to enter into this Release, that no other consents are required, and that this Release does not conflict with any other agreement to which the Participant is a party.
